2025 BLACK FRIDAY “HALF A MILLION DOLLAR PREFERRED REEFER PERKS EVENT” TERMS AND CONDITIONS

The 2025 Black Friday Half a Million Dollar Preferred Reefer Perks Event (“Event”) is being offered by Aquatic Sales Solutions, Inc. d/b/a Bulk Reef Supply (“BRS”) to reward and thank our valued BRS Preferred Reefer Reward Points Program members (“Members”). During this special, limited-time Event, Members can earn bonus rewards in addition to the regular points rewards they earn through membership in the BRS Preferred Reefer Reward Points Program (“PR Program”). By participating in the Event, you agree to be bound by these Terms and Conditions (“Terms”).

Promotion Period

The Event will be held starting on November 21, 2025, at 12:01 AM EST, through December 2, 2025, at 11:59 PM EST (“Promotion Period”).

Eligibility

The Event is open to individuals who are 18 or older and have a Preferred Reefer account. Only current Members are eligible to earn Bonus PR Perks (defined below).

Corporations, partnerships, limited liability companies, and other legal entities are not eligible to participate in the Event. Any attempt to circumvent these eligibility requirements is strictly prohibited and will result in loss of eligibility for the Event, denial or termination of membership in the PR Program, and forfeiture of any earned Bonus PR Perks.

How to Enroll in the BRS Preferred Reefer Program

If you do not have a Preferred Reefer account but would like to create one and participate in the Event, you can create one online at no cost by clicking “Create an Account” at https://www.bulkreefsupply.com/preferred-reefers or https://fresh.bulkreefsupply.com/preferred-reefers. PR Program membership eligibility determinations are final and made in our sole discretion. Limit one (1) PR Program account per person. Your PR Program account and login credentials may not be sold, transferred to, or shared with anyone, including household members, family, and friends.

How to Earn Bonus PR Perks

During the Promotion Period, and while supplies last, all Members who place an order on Bulkreefsupply.com or Brsfreshwater.com (“Sites”) will receive one of the following Bonus PR Perks:

40,000 Discount Cards valued at $10 each
250 Discount Cards valued at $50 each
150 Discount Cards valued at $100 each
40 Discount Cards valued at $500 each
30 Discount Cards valued at $599 each
Approximately 34 awards of up to 59,900 bonus reward points
Approximately $300,000 in other free products (including lighting, filters, pumps, additives, and other reefing items) valued from $10 to $599.

During the Promotion Period, Members may participate in the Event for free by sending their full name, postal address, email address, and phone number by email to Sponsor, addressed to marketingadmin@bulkreefsupply.com.

Live Events

During the course of the Event, BRS may host video livestream events (“Live Events”) such as on YouTube Live, during which BRS, at its sole discretion and for a limited time period, may award free products or bonus reward points for qualifying Preferred Reefer purchases placed during the Promotion Period.

During each Live Event, BRS may, at its sole discretion, incorporate one or more flash events, during which BRS will select qualifying Preferred Reefer orders placed during the limited time period of the flash event to receive a free product, Discount Card, or bonus reward points, in BRS’ sole discretion.

How to Redeem

Bonus PR Perks must be redeemed between December 1, 2025, to December 31, 2025, and can only be used on qualifying products on Bulkreefsupply.com and Brsfreshwater.com. See Discount Cards for important terms and restrictions. Once you have qualifying items in your online cart and are ready to make a purchase, enter the Discount Card code or the bonus reward points at checkout. Limit one (1) Discount Card code per transaction.

Bonus PR Perks are promotional in nature and have no cash value, may not be redeemed for cash, and may not be combined with any other discount, offer or coupon. Bonus PR Perks are non-transferable and may not be sold, traded, shared, transferred or gifted to others, including other PR Program members.

Additional Event Rules and Restrictions

Any PR Program member that violates these Terms or other PR Program terms or engages, directly or indirectly, in prohibited, fraudulent or unlawful conduct, will be prohibited from participating in the Event, shall forfeit any earned Bonus PR Perks, and is subject to suspension or termination of membership in the PR Program in BRS’ sole discretion. In the event of membership termination, all points, bonus reward points, rewards, and Bonus PR Perks in the closed or terminated account will be irretrievably forfeited and may not be recovered.

Any use of software, bots, AI technologies, or other automated means to create multiple accounts, accumulate Bonus PR Perks through improper means, or engage in other unfair, fraudulent or unlawful practices is strictly prohibited and will result in disqualification from participation in the Event and termination of membership in the PR Program, including forfeiture of any earned Bonus PR Perks, points and rewards.

BRS may at any time, in its sole discretion: (1) modify, suspend, restrict, or terminate the Event or any aspect thereof, for any reason, including for continuity, business purposes, maintenance or support; (2) modify Event features or benefits, Bonus PR Perks, Event offerings, requirements for earning Bonus PR Perks, redemption policies, expiration policies, or other aspects or benefits of the Event; and (3) invalidate Bonus PR Perks and suspend, revoke or terminate your membership in the Event and the PR Program, including without limitation, if we suspect fraud or abuse or other violations of these Terms.

BRS may elect not to award all or some of the Bonus PR Perks in its sole discretion, such as due to availability or if an insufficient number of qualifying purchases are made during the Promotion Period. We will provide notifications of material changes in these Terms or the Event, either by email or by posting notice of the changes on the Sites. Please check these Terms frequently for updates.

Ownership, Limited License, and Use Restrictions

All original content, information, images, copy, and other materials featured, displayed, contained, and available when accessing the Event (collectively, the “Content”) is owned by or licensed to BRS and protected by international copyright, trademark, trade dress, patent, and other intellectual property rights. Subject to your compliance with these Terms, BRS grants you a personal, non-exclusive, non-transferable, limited right to access, use, display, and download Content for non-commercial purposes only, for purposes of participation in the Event and the PR Program. You may not copy, reproduce, distribute, transmit, display, perform, reproduce, publish, license, modify, create derivative works from, sell, or exploit, in whole or in part, the Content. Any unauthorized uses of the Content shall constitute a violation of these Terms and shall be grounds for immediate termination of Event membership. Violations of this paragraph are likely to cause irreparable harm and, by participating in the Event, you agree that BRS shall be entitled to enjoin any activities prohibited by these Terms.

Limitation of Liability, No Warranties, and Dispute Resolution

Participants hereby release BRS and its franchisees, subsidiaries, affiliates, advertising and promotion agencies, partners, representatives, agents, successors, assigns, employees, officers, and directors, from any liability related to participation in the Event, including without limitation any claim of injury, damage, loss or liability to person or property, due in whole or part, directly or indirectly, to the acceptance, possession, use or misuse of any prize or participation in this Event. Once the prize has been distributed, participants understand that there can be no claims for liability made against the above-named parties.

THE EVENT AND CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, and BRS hereby expressly disclaims all representations and warranties of any kind, whether express, implied or statutory, including, without limitation, warranties of title, non-infringement, merchantability, accuracy, completeness, or fitness for a particular purpose. Without limiting the foregoing, BRS does not guarantee, warrant or represent that the Event or Content will be available, error-free, uninterrupted, protected from unauthorized access or disclosure, or free of viruses or other harmful components, or that any defects will be corrected.

Except where prohibited, participants in the Event agree that: (a) all issues and questions concerning these Terms shall be governed by Minnesota law without giving effect to any principles of conflicts of law of any jurisdiction; (b) any and all disputes, claims and causes of action at law or in equity arising out of or relating to this Event or any Bonus PR Perks awarded shall be (i) resolved individually, without resort to any form of class action; and (ii) filed only in the state courts situated in Minnesota, and participant hereby consents and submits to the personal jurisdiction of such courts for the purposes of litigating any such disputes, claims or causes of action; (c) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, but in no event shall include attorneys' fees; and (d) under no circumstances will any participant be permitted to obtain awards for, and hereby waives all rights to claim, punitive, incidental, special, consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased.

If a court of competent jurisdiction determines any provision of these Terms or any portion thereof to be unenforceable, such provision will be enforced to the maximum extent permissible so as to give the intended effect thereof, and the remainder of these Terms will continue in full force and effect. Any failure by BRS to act with respect to a violation of these Terms does not waive BRS’ right to act with respect to that violation or subsequent or similar violations.
