Preferred Reefers earn 5 BRS Reward Points for every $1 spent on both BulkReefSupply.com and Fresh.BulkReefSupply.com. Every time you make a purchase you will earn points based on the price of the product, and these points are added to your Reward Points balance.*

As part of promotions, BRS may issue bonus BRS Reward Points for certain product purchases. Purchase any number of these products and receive related bonus BRS Reward Points based on the price of the product. During multiplier events, reward points multipliers are calculated based on 1 point for every $1 you spend model. Bonus point promotions may override existing rewards points earnings, promotions, and discounts.

The value of reward points is determined by an exchange rate of both currency spent on products to points, and an exchange rate of points earned to currency for spending on future purchases.

You can redeem your BRS Reward Points in My Cart on both BulkReefSupply.com and Fresh.BulkReefSupply.com. If you are logged in, you will have the option of using points as one of the payment methods. BRS Reward Points Program

The Aquatic Sales Solutions, Inc. d/b/a BulkReefSupply.com (“BRS”) Reward Points Program provides a purchase incentive for qualified BRS customers.

Qualified BRS customers that are eligible to participate in the Program must be individuals, 18 years of age or older, who are not employees, agents and vendors (including wholesale customers) of BRS, or their owners, affiliates or family members. Qualified BRS customers must register with BRS by Creating an Account at the Bulkreefsupply.com website. By creating an Account, you agree to all of the Program terms and conditions as provided herein.

Earning BRS Reward Points – Preferred Reefers program earn Reward Points as follows:

• 5 BRS Reward Point for every $1 you spend with BRS.
  BRS Reward Points are earned based on the price of the product as a Preferred Reefer and these Reward Points are added to your Reward Points account balance. BRS Reward Points earned from your purchases or Bonus Reward Points (extra BRS Reward Points earned as part of a promotion) will only be available for orders placed under a Preferred Reefer account and after your order has been completely processed, shipped and payment has been received. BRS will attempt to credit your account with Reward Points on a timely basis. However, you are responsible for making sure that Reward Points are properly credited. Any claim for Reward Points not credited accurately must be received by BRS within six (6) months of the date of the applicable purchase along with supporting documentation. Reward Points will be reduced for returned products. Orders placed prior to acceptance into the Preferred Reefer program are not eligible for reward points.
• Bonus Points & Multiplier Promotions
  As part of promotions, BRS may issue Bonus BRS Reward Points for certain product purchases. Purchase any number of these products and receive related bonus BRS Reward Points based on the price of the product. During multiplier events, reward points multipliers are calculated based on 1 point for every $1 you spend model. Redeeming Points – Qualified customers redeem program Reward Points as follows:

• The value of the Reward Points is determined by BRS by using an exchange rate of both the actual monetary payments made on products to points, and an exchange rate of points earned to actual monetary payments on future purchases.

• You can redeem your BRS Reward Points in My Cart of your Customer Account. When you are logged in to your BRS Account, you will have the option of using Reward Points as one of the payment methods. Redeemable Reward Points can be used in conjunction with other payment methods such as credit cards. • Canceled purchases will result in a loss of any applicable reward points earned for the canceled order.
• Purchases returned to Bulk Reef Supply for a refund will result in the forfeiture of Preferred Reefer Reward Points accrued for all returned items. If the amount of Preferred Reefer Reward Points earned for all returned items is unavailable for forfeiture, the value of the point shortage will be deducted from the total refund.

Reward Points Expiration

BRS Reward Points will expire 365 days from the day the Reward Points are posted to your account. Reward Points will expire in the order from which the Reward Points were first earned (on a first-in, first-out basis). BRS may, but is not required to, provide notice of expiration of Reward Points.

NOTE: You can sign up to receive email notifications each time your Reward Points balance changes when you either earn, redeem or lose Reward Points, as well as receive Reward Points expiration notifications. This option is found in the Reward Points section of the My Account area.

Managing My Reward Points

You have the ability to view and manage your Reward Points through your Customer Account. From your account, you will be able to view your total Reward Points (and monetary equivalent) and a cumulative history of Reward Points acquired, redeemed and lost. The history record will retain and display historical rates and benefits for informational purposes. The history will also show you comprehensive informational messages regarding Reward Points, including expiration notifications, if applicable. By creating an Account, you agree to receive Program e-mail communication unless otherwise specifically requested. A customer may terminate his or her participation in the Program by contacting BRS. In addition to the other terms hereof, BRS may terminate a customer’s participation in the Program if points are issued, received or redeemed through misrepresentation, fraud, theft, conversion, computer/system error and/or glitches or other illegal acts or means, or violation of the terms and conditions of the Program. Upon such terminations all Program Reward Points shall be forfeited immediately. You may not sell, assign, make a gift of or otherwise transfer all or any part of your Reward Points.

Modification, Suspension and Termination of the Program

BRS reserves the right at any time, in its sole discretion, with or without notice, to: suspend or modify the Program, including these terms and conditions, in whole or in part; to modify, limit, or suspend any Program offers and/or the use or redemption of Reward Points in any respect; to modify or change redemption procedures, including the number of Reward Points required for particular rewards; and to modify, limit or suspend the accrual of Reward Points, including but not limited to imposing time limits and changes in Reward Point values. In addition, BRS reserves the right, in its sole discretion to terminate the Program upon 30 days prior notice to all active members or, in the case of termination where the Program is replaced by a similar program, immediately upon notice to all active members. In the event of such a termination of the Program, Reward Points that are not redeemed by the termination date of the Program will be forfeited and may not thereafter be redeemed. You should not rely upon the continued availability of the Program, or any earning, redemption, or other offers made in connection with the Program. All offers are available while supplies last, subject to any applicable cancellation policies, and are subject to change and/or revocation without notice.

Limitation on Liability

BY ENROLLING IN THE PROGRAM, YOU AGREED THAT BRS , ITS AFFILIATES, AND THEIR RESPECTIVE OFFICERS, MANAGERS, DIRECTORS, GOVERNORS, EMPLOYEES OR AGENTS (COLLECTIVELY THE “RELEASED PARTIES”) SHALL NOT HAVE ANY LIABILITY TO YOU FOR ANY CLAIM, LOSS, INJURY, DAMAGE, ACCIDENT, COST OR EXPENSE OR FOR ANY INCIDENTAL, INDIRECT, SPECIAL, PUNITIVE, EXEMPLARY, CONSEQUENTIAL OR OTHER DAMAGES (COLLECTIVELY, "LOSSES AND DAMAGES"), DIRECTLY OR INDIRECTLY ARISING OUT OF OR RELATED TO (I) THE PROGRAM, THE TERMS AND CONDITIONS HEREOF OR ANY ACTIVITY RELATED TO THE PROGRAM; (II) ANY FAILURE, DELAY OR DECISION BY BRS IN ADMINISTERING THE PROGRAM; (III) ANY UNAUTHORIZED BREACH OF SECURITY REGARDING YOUR PERSONAL INFORMATION RELATED TO THE PROGRAM; (IV) ANY OFFER, REPRESENTATION, STATEMENT OR CLAIM ABOUT THE PROGRAM, ANY PRODUCTS OR SERVICES OF THE PROGRAM; (V) ANY PRINTING, PRODUCTION, OR OTHER ERRORS IN ANY MEDIUM RELATED TO THE PROGRAM; (VI) ANY DELAY OR FAILURE TO CREDIT REWARD POINTS TO YOUR ACCOUNT; OR (VII) ANY FAILURE TO PROVIDE PROGRAM COMMUNICATION. THESE LIMITATIONS OF LIABILITY SHALL APPLY WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, NEGLIGENCE, TORT, STRICT LIABILITY OR ANY OTHER BASIS, EVEN IF ONE OF THE RELEASED PARTIES OR ONE OF THEIR REPRESENTATIVES HAVE BEEN ADVISED OF OR SHOULD HAVE KNOWN OF THE POSSIBILITY OF SUCH LOSSES AND DAMAGES, AND WITHOUT REGARD TO THE SUCCESS OR EFFECTIVENESS OF OTHER REMEDIES.

THE MAXIMUM COMBINED AGGREGATE LIABILITY OF THE RELEASED PARTIES FOR ANY CAUSE WHATSOEVER IN ANY CALENDAR YEAR ARISING OUT OF OR IN CONNECTION WITH ANY OF THE MATTERS DESCRIBED ABOVE SHALL NOT IN ANY EVENT EXCEED TEN U.S. DOLLARS ( $10.00). IF ANY OF THE FOREGOING LIMITATIONS OF LIABILITY OR THE FOLLOWING WARRANTY DISCLAIMER IS FOUND TO BE VOID, INVALID, OR UNENFORCEABLE FOR ANY REASON, THEN SUCH LIMITATIONS OF LIABILITY AND/OR DISCLAIMER SHALL BE MODIFIED TO THE MINIMUM EXTENT NECESSARY TO ACCOMPLISH THE PURPOSE AND INTENT OF THE ORIGINAL PROVISIONS TO THE FULLEST EXTENT ALLOWED BY LAW AND THE REMAINING LIMITATIONS OF LIABILITY AND WARRANTY DISCLAIMERS SHALL REMAIN IN FULL FORCE AND EFFECT.

No Warranty

BRS HEREBY DISCLAIM ALL WARRANTIES AND REPRESENTATIONS OF ANY KIND WHATSOEVER, WHETHER WRITTEN OR ORAL, EXPRESS, IMPLIED, STATUTORY, OR ARISING BY OPERATION OF LAW, COURSE OF DEALING, COURSE OF PERFORMANCE OR USAGE OF TRADE, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, WITH RESPECT TO THE PROGRAM AND THE WEBSITE.

Governing Law and Interpretation

Your participation in the Program shall be deemed made, performed, transacted, and closed in the State of Minnesota in the United States of America. By enrolling in the Program, you agree that the laws of the State of Minnesota in the United States of America, without regard to its conflict of laws rules, will govern the Program and these Program terms and conditions. The interpretation of these Program terms and conditions and any rules related to the Program shall be at the sole discretion of BRS. BRS may assign its rights and obligations under this Program and such assigned obligations shall be the sole responsibility of the assignee. This Program and the issuance of Reward Points is void where prohibited or restricted by law.

The Black Friday Half a Million Dollar Preferred Reefer Perks Event (“Event”) is being offered by Aquatic Sales Solutions, Inc. d/b/a Bulk Reef Supply (“BRS”) to reward and thank our valued BRS Preferred Reefer Program members (“Members”).  During this special, limited-time Event, Members can earn bonus rewards in addition to the regular points rewards they earn through membership in the BRS Preferred Reefer Program (“PR Program”).  By participating in the Event, you agree to be bound by these Terms and Conditions (“Terms”).

Promotion Period

The Event will be held starting on November 22, 2024, at 12:01 AM EST, through December 3, 2024, at 11:59 PM EST (“Promotion Period”).

Eligibility

 The Event is open to individuals who are 18 or older and are registered Members of the BRS Preferred Reefer Program (“PR Program”) when the Event begins and for the entire Promotion Period.  Only current Members are eligible to earn Bonus PR Perks (defined below). 

Corporations, partnerships, limited liability companies, and other legal entities are not eligible to participate in the Event.  Any attempt to circumvent these eligibility requirements is strictly prohibited and will result in loss of eligibility for the Event, denial or termination of membership in the PR Program, and forfeiture of any earned Bonus PR Perks.

How to Enroll in the BRS Preferred Reefer Program

If you do not have a Preferred Reefer account but would like to create one and participate in the Event, you can create one online at no cost by clicking “Create an Account” at https://www.bulkreefsupply.com/preferred-reefers.   PR Program membership eligibility determinations are final and made in our sole discretion.   Limit one (1) PR Program account per person.  Your PR Program account and login credentials may not be sold, transferred to, or shared with anyone, including household members, family, and friends. 

How to Earn Bonus PR Perks

During the Promotion Period, and while supplies last, all Members who place an order on Bulkreefsupply.com (“Site”) will receive one of the following “Bonus PR Perks”:

How to Redeem

Bonus PR Perks consisting of Discount Cards or bonus reward points can only be redeemed toward purchases of qualifying products on Bulkreefsupply.com.  Discount Cards and bonus rewards points may not be used together.  See Discount Cards for important terms and restrictions. Once you have qualifying items in your online cart and are ready to make a purchase, enter the Discount Card code or the bonus reward points at checkout.  Limit one (1) Discount Card code per transaction.  Bonus PR Perks are promotional in nature and have no cash value, may not be redeemed for cash, and may not be combined with any other discount, offer or coupon.  Bonus PR Perks are non-transferable and may not be sold, traded, shared, transferred or gifted to others, including other PR Program members. 

Additional Event Rules and Restrictions

Any PR Program member that violates these Terms or other PR Program terms or engages, directly or indirectly, in prohibited, fraudulent or unlawful conduct, will be prohibited from participating in the Event, shall forfeit any earned Bonus PR Perks, and is subject to suspension or termination of membership in the PR Program in BRS’ sole discretion.  In the event of membership termination, all points, bonus reward points, rewards, and Bonus PR Perks in the closed or terminated account will be irretrievably forfeited and may not be recovered. 

Any use of software, bots, AI technologies, or other automated means to create multiple accounts, accumulate Bonus PR Perks through improper means, or engage in other unfair, fraudulent or unlawful practices is strictly prohibited and will result in disqualification from participation in the Event and termination of membership in the PR Program, including forfeiture of any earned Bonus PR Perks, points and rewards.

BRS may at any time, in its sole discretion: (1) modify, suspend, restrict, or terminate the Event or any aspect thereof, for any reason, including for continuity, business purposes, maintenance or support; (2) modify Event features or benefits, Bonus PR Perks, Event offerings, requirements for earning Bonus PR Perks, redemption policies, expiration policies, or other aspects or benefits of the Event; and (3) invalidate Bonus PR Perks and suspend, revoke or terminate your membership in the Event and the PR Program, including without limitation, including without limitation, if we suspect fraud or abuse or other violations of these Terms.  BRS may elect not to award all or some of the Bonus PR Perks in its sole discretion, such as due to availability or if an insufficient number of qualifying purchases are made during the Promotion Period. We will provide notifications of material changes in these Terms or the Event, either by email or by posting notice of the changes on the Site.  Please check these Terms frequently for updates.

Ownership, Limited License, and Use Restrictions

 All original content, information, images, copy, and other materials featured, displayed, contained, and available when accessing the Event (collectively, the "Content") is owned by or licensed to BRS and protected by international copyright, trademark, trade dress, patent, and other intellectual property rights.  Subject to your compliance with these Terms, BRS grants you a personal, non-exclusive, non-transferable, limited right to access, use, display, and download Content for noncommercial purposes only, for purposes of participation in the Event and the PR Program.  You may not copy, reproduce, distribute, transmit, display, perform, reproduce, publish, license, modify, create derivative works from, sell, or exploit, in whole or in part, the Content.  Any unauthorized uses of the Content shall constitute a violation of these Terms and shall be grounds for immediate termination of Event membership.  Violations of this paragraph are likely to cause irreparable harm and, by participating in the Event, you agree that BRS shall be entitled to enjoin any activities prohibited by these Terms.

Limitation of Liability, No Warranties, and Dispute Resolution

 Participants hereby release BRS and its franchisees, subsidiaries, affiliates, advertising and promotion agencies, partners, representatives, agents, successors, assigns, employees, officers, and directors, from any liability related to participation in the Event, including without limitation any claim of injury, damage, loss or liability to person or property, due in whole or part, directly or indirectly, to the acceptance, possession, use or misuse of any prize or participation in this Event. Once the prize has been distributed, participants understand that there can be no claims for liability made against the above-named parties.

THE EVENT AND CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, AND BRS HEREBY EXPRESSLY DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY, ACCURACY, COMPLETENESS, OR FITNESS FOR A PARTICULAR PURPOSE.  WITHOUT LIMITING THE FOREGOING, BRS DOES NOT GUARANTEE, WARRANT OR REPRESENT THAT THE EVENT OR CONTENT WILL BE AVAILABLE, ERROR-FREE, UNINTERRUPTED, PROTECTED FROM UNAUTHORIZED ACCESS OR DISCLOSURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED.

Except where prohibited, participants in the Event agree that: (a) all issues and questions concerning these Terms shall be governed by Minnesota law without giving effect to any principles of conflicts of law of any jurisdiction; (b) any and all disputes, claims and causes of action at law or in equity arising out of or relating to this Event or any Bonus PR Perks awarded shall be (i) resolved individually, without resort to any form of class action; and (ii) filed only in the state courts situated in Minnesota, and participant hereby consents and submits to the personal jurisdiction of such courts for the purposes of litigating any such disputes, claims or causes of action; (c) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, but in no event shall include attorneys' fees; and (d) under no circumstances will any participant be permitted to obtain awards for, and hereby waives all rights to claim, punitive, incidental, special, consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased.

If a court of competent jurisdiction determines any provision of these Terms or any portion thereof to be unenforceable, such provision will be enforced to the maximum extent permissible so as to give the intended effect thereof, and the remainder of these Terms will continue in full force and effect.  Any failure by BRS to act with respect to a violation of these Terms does not waive BRS’ right to act with respect to that violation or subsequent or similar violations.

This Sweepstakes is sponsored by Aquatic Sales Solutions, LLC aka Bulk Reef Supply (“Sponsor”).  Sponsor’s parent, subsidiaries, licensees, affiliates, partners, employees, officers, directors, agents, and their family members and household members, regardless of relationship, and all advertising agencies or other companies involved with the design, production, execution, administration, fulfillment, or distribution of this Sweepstakes and their employees and agents (“Promotion Partners”) are not eligible to participate in the Sweepstakes or to win any prizes.

Any Sweepstakes entries received from an ineligible participant will be disqualified.  By participating in this Sweepstakes, participants accept and agree to be bound by these Official Rules and the decisions of Sponsor, which shall be final on all matters.  Sponsor reserves the right to modify the rules of the Sweepstakes in any way at any time, subject to state or federal law.

Entering Daily Drawings. Eligible participants may enter one or more Daily Drawings during the Sweepstakes Period. To enter a Daily Drawing, you must: (1) log in to your Preferred Reefer account at https://bulkreefsupply.com/preferred-reefers prior to 8:00 AM EST on the day of the Daily Drawing you are interested in (see list of dates outlined below) and (2) add the Daily Doorbuster product of the day (“Product”) (described below) to your Preferred Reefer wishlist.  To be eligible for a particular day’s drawing, you must have the Product on your Preferred Reefer account wishlist by 8:00 AM EST on the day of the drawing (“Daily Doorbuster Drawing Date”).   Limit one entry per person for each Daily Doorbuster Drawing.

 *Total ARV of all prizes is $17,817.40 USD. For each Daily Drawing, the BRS Reward Points to be awarded to each winner are equivalent in value to the “Daily Doorbuster” discounted price of the featured Product for that day.  The stated ARV for each “Daily Doorbuster” Product corresponds to the discounted price of the Product for that day.  Limit one prize per person during the Sweepstakes Period.

Odds of Winning: 

The odds of winning will depend on the number of qualifying entries received during the Sweepstakes Period. 

 Winner Selection and Notification:

At approximately 9:00 AM EST on each Drawing Date (outlined above), Sponsor will randomly select five (5) “Daily Doorbuster” winners, from among all eligible entries received for that Daily Drawing.  Sponsor may conduct the random drawing in a livestream and may use the first name and last initial of prospective winners as well as their geographic and biographical information during this livestream and in related social media posts and videos. Winners will be announced via a YouTube video that will be released on BRStv at 10 AM EST that same morning. Winners will also be notified by email at approximately 10 AM EST, at the email address listed in their Preferred Reefer Program account.  The BRS Reward Points will be loaded in the winners’ accounts at or about the time of the announcement.  

How to Redeem Daily Doorbuster BRS Reward Points:

 BRS Reward Points awarded in the Sweepstakes must be used to purchase the featured Product by 11:59 PM EST on the same day they are awarded to receive the “Daily Doorbuster” discounted price.  Prize winners are responsible for payment of shipping and handling charges, fees, and taxes. Winners who elect not to use the awarded BRS Reward Points toward the Daily Doorbuster Product for that day may instead use the awarded BRS Reward Points toward the purchase of other item(s) at a later time. Winners may use other discounts (coupons, discount codes or sale prices) when redeeming BRS Reward Points.  BRS Reward Points may not be redeemed in exchange for gift cards. BRS Reward Points expire 365 days from the date of issuance.  Sponsor has sole discretion on prize eligibility determinations.  If there are an insufficient number of qualified Entries for a daily drawing, or no entries, Sponsor reserves the right not to award the stated number of prizes and, as applicable, not to award any prizes for that daily drawing. All decisions by Sponsor are final.

General Provisions: 

Participation in a “Daily Doorbuster” Drawing as outlined above is referred to in these Official Rules as an “Entry.” Sponsor is not responsible for late, unsent, inaccurate, or incomplete Entries, regardless of cause, including without limitation, due to human or technical error, whether caused by the participant or by any of the equipment or programming associated with or utilized in this Sweepstakes, or by any technical, human, computer, or other error that may occur in the transmittal or processing of any Entry or the processing of any function on the participant’s computer system or device.  Participants must keep their contact information current during the Sweepstakes Period to remain eligible to win a prize.  Any disputes regarding eligibility, Entries, administration of the Sweepstakes, or ownership of a Preferred Reefer account will be determined by Sponsor in its sole discretion.  Sponsor reserves the right, in its sole discretion, to disqualify any individual found to be tampering with the Entry process or the operation of the Sweepstakes; to be acting in violation of these Official Rules or applicable laws; or to be acting with intent to annoy, abuse, threaten or harass any other person.  Any use of robotic, automatic, programmed, AI technologies, or similar entry methods is prohibited, and any such Entries will be disqualified and void.

By entering the Sweepstakes, Participants consent to the use of their Entry, name, image, voice, photograph, geographic and biographic information, persona, and social media names and handles, by Sponsor and Promotion Partners, in their sole discretion, including without limitation, for public relations, advertising, and promotional purposes in perpetuity, worldwide, in any and all media, without further compensation or notification, in accordance with applicable law.

Each winner will be required to read, sign, and return an Affidavit of Eligibility affirming their full compliance with these Official Rules and applicable laws, together with a Liability and Publicity Release in a form designated by Sponsor. Winners are solely responsible for shipping and handling charges and for all applicable federal, state, and local taxes and any expenses associated with any prizes. Winners are responsible for any income tax liability and should consult his/her tax advisor for the proper tax treatment of this income on his/her tax return.

Sponsor reserves the right, in its sole discretion, to modify, terminate, or suspend this Sweepstakes for any reason, including without limitation, should technical issues, viruses, bugs, unauthorized human intervention or other causes beyond Sponsor’s control corrupt or impair the administration, security or fairness of the Sweepstakes.  Sponsor is not responsible for any human or technological error that may occur in the processing of the Sweepstakes nor is it responsible for any error, omission, interruption, deletion, defect, communications line failure, theft or destruction of, unauthorized access to, delay in operation, transmission, or distribution of, or alteration of entries, whether caused by the sender, any of the equipment or programming associated with or utilized in this Sweepstakes, or otherwise.

Limitation of Liability, No Warranties, and Dispute Resolution:

Participants hereby release Sponsor and Promotion Partners from any and all liability related to or arising directly or indirectly out of participation in the Sweepstakes and acceptance of a prize, including without limitation, any claim of injury, damage, loss or liability to person or property, due in whole or part, directly or indirectly, to the acceptance, possession, use or misuse of any prize or participation in this Sweepstakes. Once a prize has been distributed, participants understand that there can be no claims for liability made against the above-named parties.

THE SWEEPSTAKES AND CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, AND SPONSOR HEREBY EXPRESSLY DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY, ACCURACY, COMPLETENESS, OR FITNESS FOR A PARTICULAR PURPOSE.  WITHOUT LIMITING THE FOREGOING, SPONSOR DOES NOT GUARANTEE, WARRANT OR REPRESENT THAT THE SWEEPSTAKES OR CONTENT WILL BE AVAILABLE, ERROR-FREE, UNINTERRUPTED, PROTECTED FROM UNAUTHORIZED ACCESS OR DISCLOSURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED.

Except where prohibited, each participant and winner accepting a prize agrees that: (a) all issues and questions concerning these Official Rules shall be governed by Minnesota law without giving effect to any principles of conflicts of law of any jurisdiction; (b) any and all disputes, claims and causes of action at law or in equity arising out of or relating to this Sweepstakes or any prize awarded shall be (i) resolved individually, without resort to any form of class action; and (ii) filed only in the state courts situated in Minnesota, and participant hereby consents and submits to the personal jurisdiction of such courts for the purposes of litigating any such disputes, claims or causes of action; (c) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, but in no event shall include attorneys' fees; and (d) under no circumstances will any participant or winner be permitted to obtain awards for, and hereby waives all rights to claim, punitive, incidental, special, consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased.

If a court of competent jurisdiction determines any provision of these Official Rules or any portion thereof to be unenforceable, such provision will be enforced to the maximum extent permissible so as to give the intended effect thereof, and the remainder of these Official Rules will continue in full force and effect.  Any failure by Sponsor to act with respect to a violation of these Official Rules does not waive Sponsor’s right to act with respect to that violation or subsequent or similar violations.
